Agreement to Terms

By accessing or using socialmark.org (the "Site"), you agree to be bound by these Terms of Use. If you do not agree, you should not use the Site.

Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and handle your information.

If you participate in the Socialmark Giving grant program, you are also subject to our Grant Guidelines, which contain additional terms governing grant applications and awards. In the event of any conflict, the Grant Guidelines control with respect to the grant program.

Eligibility

You must be at least 13 years of age to use the Site or create an account. If you are between 13 and 17, you may use the Site only with the permission and supervision of a parent or legal guardian.

We may require verification of parental or guardian consent at any time.

By using the Site, you represent that you meet these eligibility requirements.

Your Account

To access certain features of the Site, including submitting grant applications, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to provide accurate, current, and complete information when creating your account and to update your information as necessary.

We reserve the right to suspend or terminate any account at any time, for any reason, including violation of these Terms.

Acceptable Use

You agree not to use the Site to:

Submit false, misleading, or fraudulent information.

Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

Upload or transmit content that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.

Infringe the intellectual property, privacy, or other rights of any third party.

Interfere with or disrupt the operation of the Site, including by introducing viruses, malware, or other harmful code.

Scrape, crawl, or use automated means to access the Site or collect data without our prior written consent.

Attempt to gain unauthorized access to any part of the Site, other accounts, or systems connected to the Site.

Use the Site for any commercial purpose unrelated to the Socialmark Giving program without our permission.

User Content

You retain ownership of all content you submit through the Site, including photos, written statements, and profile information.

By submitting content, you grant Socialmark, LLC a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute your content in connection with the Site and the Socialmark Giving program, as described in our Grant Guidelines.

You represent that you have the necessary rights to all content you submit and that it does not infringe the rights of any third party.

We reserve the right to remove any content at any time, for any reason, without notice.

No Guarantee of Outcomes

The Site may include information about grant programs, applicants, or past recipients. This information is provided for general informational purposes only.

Nothing on the Site constitutes a promise, guarantee, or representation that any user will receive a grant or any other outcome.

Communications

By creating an account or using the Site, you agree to receive communications from us electronically, including emails related to your account, applications, and the operation of the Site.

Intellectual Property

The Site, including its design, text, graphics, logos, and software, is the property of Socialmark, LLC and is protected by applicable intellectual property laws.

You may not copy, modify, distribute, or create derivative works from any part of the Site without our prior written consent, except for your own submitted content.

Third-Party Links

The Site may contain links to third-party websites or services. These links are provided for convenience and do not imply endorsement. We are not responsible for the content, practices, or availability of any third-party sites.

Disclaimer of Warranties

To the fullest extent permitted by law, the Site is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

Limitation of Liability

To the fullest extent permitted by law, Socialmark, LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Site, including but not limited to loss of data, loss of revenue, or damage to reputation, regardless of the theory of liability.

Our total liability for any claim arising from your use of the Site shall not exceed the amount, if any, you paid to us in the twelve months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Socialmark, LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

Site Availability

We may modify, suspend, or discontinue any part of the Site at any time, with or without notice. To the fullest extent permitted by law, we are not liable for any changes to or unavailability of the Site.

Governing Law & Disputes

These Terms are governed by the laws of the State of Arizona, without regard to its conflict of law principles.

Any disputes arising from these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Maricopa County, Arizona. You consent to the personal jurisdiction of such courts.

Termination

We may suspend or terminate your access to the Site at any time, for any reason, without notice. Upon termination, your right to use the Site ceases immediately.

Sections of these Terms that by their nature should survive termination — including intellectual property, limitation of liability, indemnification, and governing law — will survive.

Changes to These Terms

We may update these Terms from time to time. Updates will be posted on this page with a revised "Last updated" date. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

Entire Agreement

These Terms, together with the Grant Guidelines and Privacy Policy, constitute the entire agreement between you and Socialmark regarding your use of the Site.
